Musical Arts Guild

CONSTITUTION AND BYLAWS

ARTICLE I

The name of this organization shall be the UNCG Musical Arts Guild, hereinafter called the "Guild." 

ARTICLE 11

Objectives

 
The Guild shall be a non-profit organization.  Its primary objective shall be to further music in the community by promoting the work of the UNCG School of Music, by encouraging attendance at concerts and special lectures, by contributing to scholarships, and by the sponsoring of any activities which might accomplish these objectives. 

ARTICLE III

Membership 

 
Membership is open to anyone who supports the Guild's objectives and makes an annual membership gift. 

ARTICLE IV

Fiscal Policy 

 

Section 1. The fiscal year of the Musical Arts Guild shall be from July I to June 30.

Section 2. Annual membership gifts and membership classes shall be set annually by the Board of Directors.  While the Life Membership classification has been discontinued, present Life Members will be retained in active membership. 

Section 3. All monies will be channeled through the Office of Development of the University, which office will maintain accounting records and furnish complete reports to the Board of Directors periodically or upon request. 

ARTICLE V

Meetings 

 

Section 1. The Annual Meeting of the members of the Musical Arts Guild shall be held on such a date in the month of April as shall be set by the Board of Directors.  Notice of the Annual Meeting shall be sent at least ten (10) days prior thereto. 

Other meetings of the Guild may be called by the President or any ten (10) members of the Guild. 

Section 2. The Board of Directors shall meet at least four (4) times during the year, at times to be determined at the beginning of the year.  Additional meetings may be called by the President or any five (5) Directors. 

ARTICLE VI

Quorum 

 

Section 1. At the Annual Meeting or other meetings of the Guild, twenty (20) members shall constitute a quorum.

Section 2. At meetings of the Board of Directors, twelve (12) members shall constitute a quorum. 

Section 3. At meetings of the Executive Committee, four (4) members shall constitute a quorum. 

ARTICLE VIl

Board of Directors 

 

Section 1.  General Powers.  The Board of Directors shall have full authority to manage and control the affairs of the Guild, to transact any and all business, and to authorize expenditures of all monies, in consultation with the Dean of the School of Music.

Section 2. Number, Election and Tenure.  The Board of Directors shall consist of at least thirty (30) members (including the officers), elected by the members at the Annual Meeting, and six (6) ex officio members, for a total of thirty-six (36) members.  In addition, the Board may include a limited number of Board Members Emeriti. 

The Directors shall be elected at the Annual Meeting and, with the exception of permanent Board Members Emeriti, shall serve for a period of two years.  Terms shall alternate so that half the Board is elected each year.  No elected Director shall serve more than two consecutive terms unless elected to an office.  Directors having served two consecutive terms may be re-elected after one year off the Board. 

The ex officio members of the Board shall be the Dean of the School of Music, the Vice Chancellor for Development and University Relations, the Vice Chancellor for Academic Affairs, a representative of the UNCG Alumni Association, a representative from the student body of the School of Music, and a faculty liaison member.  Those representatives shall be recommended by the Dean of the School of Music and approved by the Board at its first meeting. 

Section 3. Vacancies.  Vacancies on the Board of Directors may be filled by the Board, to hold office until the next Annual Meeting.

Section 4. Executive Committee.  An Executive Committee shall be formed within the Board of Directors of the Guild, comprised of the officers, one (1) member-at-large to be appointed by the President, the Immediate Past President, and the Dean of the School of Music.  It shall be empowered to act in the interests of the Guild between meetings of the Board.  It shall meet as often as necessary and shall report its action to the full Board for ratification. 

The Executive Committee shall be responsible to the Board and to the Guild and shall exercise sound judgment in determining which actions may be taken independently and which shall have prior approval of the Board.  The Executive Committee shall be subject to direction of the Board and any reversible action taken by it may be reversed by the Board by a vote of the majority of a quorum at a Board Meeting. 

ARTICLE VIll

Officers 

 

Section 1. Officers.  The officers of the guild shall be a President, a President Elect, A Vice President, a Recording Secretary, a Treasurer, and the Immediate Past President. 

Section 2. Election and Term of Office.  Officers shall be elected by a majority vote of those members present at the Annual meeting and may serve for 2 consecutive terms. The President shall be elected for a term of 2 years and may serve no more than 1 term. The Treasurer is not limited to 2 consecutive terms. The President Elect shall assume office at the beginning of the second year of the President's term. The Past President shall serve in office during the first year of the President's term. The officers shall assume office at the conclusion of the Annual Meeting. If the President is unable to continue in office during his or her first year the Vice President shall assume that office until the end of that year, at which time
the President Elect shall assume the office of President and a new President
Elect shall be elected.

Section 3. Vacancies.  Should the office of the President become vacant, the President Elect shall automatically become President.  Vacancies among the other officers shall be filled by the Board of Directors, to hold office until the next Annual Meeting. 

Section 4. President.  The President shall preside at all meetings of the Board of Directors, the Executive Committee, and the Membership.  The President shall, subject to the approval of the Board of Directors, appoint all committee chairpersons and shall be a member ex officio of all committees except the Nominating Committee.  The President shall be responsible for directing the affairs of the Guild. 

Section 5. President Elect The President Elect shall succeed to the presidency at the expiration of the President's term.  The President Elect shall assist the President in all duties, shall preside at all meetings in the absence of the President, and shall assume the presidency in case the office becomes vacant. 

Section 6. Vice President.  The Vice President shall assist the President and President Elect, shall preside at meetings in the absence of the President and the President Elect, and shall serve as Chairman of the Membership Committee. 

Section 7. Secretary.  The Secretary shall attend all meetings and keep the minutes and shall see that proper notices are sent of all meetings. 

Section 8. Treasurer.  The Treasurer shall work with the President and the Office of the Dean of the School of Music to see that funds are properly administered.  The Treasurer shall also work with the President, the Projects Committee, and the Finance Committee to establish an annual budget. 

ARTICLE IX

Committees 

 

Section 1.  Appointment.  The President shall, with the concurrence of the Board, appoint all standing or special coTnTiiittees, which may include, but not be limited to, the following:

Section 2. Standing Committees. 

 

A.     Membership - to be responsible for the annual enrollment of old and new members.  The Vice President shall serve as chairman of this cortimittee.

B.      Projects - to consider and recommend projects to be undertaken by the Guild, and strategies and actions to be taken to implement these projects. 

C.      Finance - to work with the projects chairman and the Treasurer to prepare and recommend an annual budget to cover anticipated income and expenditures for all activities. 

D.      Program - to work with the Dean of the School of Music to arrange programs of special interest to the members. 

E.      Annual Meeting - to plan the Annual Meeting, in cooperation with the School of Music, and arrange details related to the occasion. 

F.      Nominating - to be appointed by the President, at least sixty (60) days before the Annual Meeting, to prepare a slate of Officers and Directors for election at the Annual Meeting. 

Section 3. Special Committees.  The President shall have the power to appoint any Special Committees needed to carry out the work of the Guild.

ARTICLE X

Amendments 

 

This Constitution and Bylaws may be amended at any meeting of the Guild membership by a majority vote of those present, after the proposed amendment(s) have been sent to the membership at least ten (10) days prior to the meeting.

The mission of the UNCG School of Music is:

  1. to provide a rich, stimulating environment in which students can develop as music professionals through a comprehensive curriculum enhanced by the liberal arts for undergraduate students, and through study, training, and experiences for graduate students (through the doctoral level) that will enable them to become specialists and leaders in their fields
  2. to offer a variety of opportunities for musical growth and creative achievement for all University students; and
  3. to function as a center of intellectual, educational, and cultural excellence on campus, regionally, nationally, and globally.

The School of Music has been an accredited institutional member of the National Association of Schools of Music since 1938.
